1. Acceptance of Terms
These Terms & Conditions ("Terms") govern your access to and use of the website located at https://www.evolvt.ai (the "Site") and any video editing, content production, or related services provided by Evolvt LLC ("Evolvt," "we," "us," or "our"). By accessing the Site, submitting an inquiry, or engaging Evolvt for Services, you agree to be bound by these Terms. If you do not agree, please do not use the Site or Services.
2. Description of Services
Evolvt is a multimedia content studio specializing in short-form video editing and content production. Our Services generally include transforming long-form footage, such as podcasts, interviews, and raw recordings, into short-form content (Reels, TikToks, YouTube Shorts, and similar formats); AI-assisted analysis to identify strong moments in raw footage; editing, captioning, and formatting content for publication; and related creative and consulting services as agreed upon per project.
Specific deliverables, timelines, and pricing for each engagement will be set out in an individual project agreement, proposal, invoice, or written communication (a "Project Agreement") between Evolvt and the client. In the event of a conflict between these Terms and a Project Agreement, the Project Agreement controls for that specific engagement.
3. Client Responsibilities
To perform the Services, Evolvt relies on clients to provide raw footage, audio, brand assets, and any other materials needed for a project in a timely manner, and to respond to requests for feedback, approvals, or clarification within a reasonable time. All materials provided to Evolvt must be accurate and lawfully provided. Delays in providing materials or feedback may affect project timelines.
4. Client Content and Ownership Warranties
You represent and warrant that you own, or have obtained all necessary rights, licenses, and permissions for, all footage, audio, images, music, likenesses, trademarks, and other materials you provide to Evolvt ("Client Content") for use in connection with the Services. You agree to indemnify and hold Evolvt harmless from any claims, damages, or liabilities arising from Client Content that infringes the rights of a third party, including intellectual property, publicity, or privacy rights.
5. Intellectual Property and Deliverables
Upon full payment for a project, Evolvt grants the client ownership of the final, delivered content created specifically for that project ("Deliverables"), for the client's use as agreed in the applicable Project Agreement. Evolvt retains ownership of its own pre-existing tools, templates, workflows, and internal processes used to create the Deliverables, none of which are transferred to the client.
Unless a client requests otherwise in writing, Evolvt reserves the right to display completed, delivered work in its portfolio, website, social media, and marketing materials to showcase its work.
6. Fees and Payment
Fees for Services are set out in the applicable quote, proposal, or invoice. Unless otherwise agreed in writing, payment for Services is due in full prior to the commencement of work. Evolvt is under no obligation to begin, continue, or deliver work on a project until payment has been received in full. Accepted payment methods will be specified in the applicable invoice.
7. Revisions
The number of revision rounds included in a project, if any, will be specified in the applicable Project Agreement, proposal, or invoice. Requests for revisions beyond the agreed scope may incur additional fees, to be communicated and agreed upon before additional work begins.
8. Turnaround and Delivery
Estimated turnaround times will be communicated per project and are provided in good faith but are not guaranteed, as they may depend on factors outside Evolvt's control, including timely receipt of materials and feedback from the client.
9. Cancellations and Refunds
Cancellations and refund eligibility are governed by our Refund Policy, available at https://www.evolvt.ai/refund-policy, which is incorporated into these Terms by reference.
10. Independent Contractor Relationship
Evolvt provides Services as an independent contractor. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between Evolvt and any client.
11. Confidentiality
Each party agrees to keep confidential any non-public business, financial, or project information disclosed by the other party in connection with the Services, and to use such information solely for purposes of the engagement, except as required by law.
12. Disclaimer of Warranties
THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. Evolvt does not guarantee any specific results, such as views, engagement, or follower growth, from use of the Deliverables, as content performance depends on factors outside our control.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVOLVT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES. EVOLVT'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY THE CLIENT TO EVOLVT FOR THE SPECIFIC PROJECT GIVING RISE TO THE CLAIM.
14. Termination
Either party may terminate an ongoing engagement by providing written notice to the other party. In the event of termination, the client remains responsible for payment for Services rendered up to the point of termination, and refund eligibility for any prepaid, unrendered Services will be governed by our Refund Policy.
15. Third-Party Links and Platforms
Our Site may contain links to third-party websites or platforms, such as social media platforms. Evolvt is not responsible for the content, policies, or practices of any third-party sites.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws principles, unless otherwise required by applicable law. Any disputes arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the state and federal courts located in Tennessee, and the parties consent to personal jurisdiction in those courts.
17. Changes to These Terms
We may update these Terms from time to time. The updated version will be posted on this page with a revised "Effective Date." Continued use of the Site or Services after changes take effect constitutes acceptance of the revised Terms.
